1. Acceptance of Terms

By accessing or using the Verdini platform at verdini.world ("the Platform"), you ("User", "you") agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are using the Platform on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

If you do not agree to these Terms, you must not use the Platform.

Verdini is a real-time environmental monitoring and verification platform that provides:

3. Account Registration & KYB

To access paid features, you must create an account and complete our Know Your Business (KYB) verification process. You agree to provide accurate, complete, and current information during registration.

KYB verification requires submission of your Certificate of Incorporation, a government-issued ID for the legal representative, and proof of business address. This is required under EU Anti-Money Laundering Directive (AMLD5/6). Verdini reserves the right to refuse or revoke access if KYB verification cannot be completed.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us immediately at [email protected] of any unauthorised use.

Mandatory two-factor authentication (2FA) is required for all accounts as a NIS2 compliance measure.

4. Subscriptions & Payments

Billing: Subscriptions are billed in advance, either monthly or annually as selected at signup. All prices are shown in USD exclusive of VAT. VAT is calculated and applied at checkout based on your country and VAT registration status.

Payment processing: All payments are processed by Stripe. By providing payment information, you authorise us to charge your payment method for the subscription fees.

Cancellation: You may cancel your subscription at any time. Annual subscriptions are non-refundable but remain active until the end of the billing period. Monthly subscriptions may be cancelled with 30 days notice.

Refunds: Refunds are considered on a case-by-case basis for annual plans cancelled within 14 days of purchase, excluding cases where significant platform access has occurred. Contact [email protected] to request a refund.

Price changes: We will give at least 30 days notice of any price increase. Founding cohort members who subscribed before 31 December 2025 have their pricing locked permanently.

Failed payments: If a payment fails, we will retry for up to 7 days. If payment cannot be collected, your account will be suspended and data archived for 90 days pending payment.

5. Acceptable Use

You agree to use the Platform only for lawful purposes. You must not:

Uploading fraudulent environmental data or using Verdini outputs to support false carbon credit claims may constitute fraud under applicable law and will result in immediate account termination and referral to relevant authorities.

6. Data & Intellectual Property

Your data: You retain full ownership of all project data, GPS records, sensor readings, and documents you upload to the Platform. You grant Verdini a limited licence to process, store, and display this data solely to provide the services you have subscribed to.

Verdini IP: The Verdini Impact Score™ methodology, platform code, algorithms, design, and branding are the intellectual property of Verdini and its licensed IP co-holders. You may not copy, reproduce, or create derivative works from these without written permission.

Satellite data: Sentinel-2 imagery is provided under the Copernicus Open Access policy of the European Space Agency. NDVI analysis and derivatives produced by Verdini are the property of Verdini but are made available to subscribers for their legitimate project reporting purposes.

Evidence packages: Reports and evidence packages generated by Verdini using your project data may be shared by you with investors, registries, and regulators as part of your legitimate project management activities.

7. Environmental Data Accuracy

Verdini uses Sentinel-2 satellite imagery at 10-metre resolution processed according to standard NDVI methodology. While we strive for accuracy, satellite-derived data has inherent limitations including cloud cover, atmospheric interference, and seasonal variation. Our monitoring data should be used as a primary evidence tool but may need to be supplemented by field verification for formal carbon credit registration.

IoT sensor data is processed as received. Verdini is not responsible for inaccuracies caused by sensor malfunction, incorrect calibration, or improper deployment by the user.

Carbon calculations use IPCC Tier 1 default values and EBC/ISO 14064-2 methodologies. Final carbon credit quantities must be validated by an accredited third-party verifier (VVB) before issuance.

8. Carbon Credits Disclaimer

Verdini provides monitoring, measurement, and reporting tools to support carbon credit applications. Verdini does not issue carbon credits and is not a carbon registry. The platform does not guarantee that projects will achieve carbon credit certification or that credits issued will have any particular market value.

Carbon credit markets are subject to regulatory change. The applicable carbon standard is selected by the user or investor — Verdini does not endorse any particular standard. Users are responsible for ensuring compliance with the requirements of their chosen carbon standard and for engaging accredited verifiers as required.

9. Platform Availability

We aim to provide 99.9% uptime but do not guarantee uninterrupted access. Planned maintenance will be notified in advance where possible. Satellite data availability depends on ESA Copernicus service continuity, which is outside our control.

In the event of extended unplanned outage exceeding 72 hours, we will provide service credit equal to 1 day of subscription value for each 24-hour period of outage, up to a maximum of 30 days.

10. Limitation of Liability

To the maximum extent permitted by law, Verdini's total liability to you for any claim arising from use of the Platform shall not exceed the subscription fees paid by you in the 12 months preceding the claim.

Verdini is not liable for: indirect, consequential, or incidental damages; loss of profit; loss of carbon credit value; or regulatory penalties arising from use of the Platform, even if advised of the possibility of such damages.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.

11. Termination

You may close your account at any time by contacting [email protected]. We may suspend or terminate your account immediately if you breach these Terms, fail KYB verification, or engage in fraudulent activity.

Upon termination, your project data remains accessible for 90 days for export. After this period, data is archived and can be requested under your GDPR rights for up to 2 years. Permanent deletion occurs after the retention period described in our Privacy Policy.

12. Governing Law & Disputes

These Terms are governed by internationally recognised commercial law principles. Any disputes shall first be attempted to be resolved amicably by contacting [email protected]. If not resolved within 60 days, disputes shall be submitted to binding international arbitration under ICC Rules.

For EU consumers, you may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/odr.

13. Changes to Terms

We may update these Terms from time to time. Material changes will be notified to registered users by email at least 14 days before taking effect. Continued use of the Platform after the effective date constitutes acceptance. The current version is always available at verdini.world/verdini-terms.html.
